APPENDIX "A"


The answer to the above question is as follows: 1. Corporations are in default of filing, in the years indicated, the annual summaries under section 125 of the Companies Act as follows: Corporations without Public Private share Year Companies Companies capital total1955 57 158 16 2311956 53 161 3 2171957 287 893 31 1211 When a corporation is in default of filing annual summaries under section 125 for the current year, the department sends it a notice so advising. When a corporation is in default of filing such annual summaries for three years, a registered notice is mailed to the corporation and, if no response is received, the company may be deemed not to be a subsisting corporation and no longer entitled to the sole use of its corporate name. Such registered notices are being mailed to the 231 corporations, both public and private and without share capital, which are in default to file the annual summaries in the years 1955, 1956, and 1957 and, if no response is received, a further notice will be sent advising each company that it is deemed not to be subsisting. A similar procedure will be followed in 1958 with respect to such corporations as are in default to file annual summaries for the years 1956, 1957 and 1958; also in 1959 with respect to such corporations as are in default for 1957, 1958 and 1959. In order to specify the number of corporations on which the said penalty for three years' default was imposed in 1955 and in 1956 a considerable period of time would be required, since an individual examination of approximately 12,000 files would be involved. 2. See answer to No. 1. 3. It is for the Department of the Secretary of State to bring to the attention of the Department of Justice, for consideration and such action as is warranted, any case where a prosecution may appear to be in order. The Department of Justice Act, R.S.C. (1952) chapter 71, entrusts the Attorney General of Canada with "the regulation and conduct of all litigation for or against the crown or any public department, in respect of any subject within the authority or jurisdiction of Canada". 4.
